Terms and Conditions

1. Acceptance of Terms

These Terms and Conditions (the "Terms") govern your access to and use of the website at https://thegrandupperroom.com (the "Site"), operated by The Grand UpperRoom LLC ("The Grand UpperRoom," "GUR," "we," "our," or "us"). By visiting the Site, browsing our pages, submitting a form, creating an account, submitting content, purchasing or registering for an event through a third-party link, or otherwise interacting with the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree to be bound by all of these Terms and our Privacy Policy, you are not authorized to access or use the Site and should leave the Site immediately.

2. Eligibility and Age Requirement

The Site is intended for general informational use by adults. You must be at least 18 years old to submit a tour inquiry, request booking information, register for an account, submit blog or promotion content, purchase tickets through third-party links, or otherwise communicate with us about reserving the venue through the Site. By submitting an inquiry or otherwise using the Site for those purposes, you confirm that you are at least 18 years old and have the legal authority to communicate with us or to act on behalf of any entity, organization, group, or family you represent.

3. Use of the Site

We grant you a limited, personal, non-exclusive, non-transferable, revocable right to access and use the Site for lawful personal or business inquiry purposes only, including: reviewing information about The Grand UpperRoom, our suites, services, public events, venue rules, amenities, pricing information, blog content, gallery content, and company information; submitting tour inquiries and event-related questions through the forms we provide; scheduling tours or consultations through embedded booking tools, subject to availability and confirmation; purchasing tickets to public events through third-party links, subject to Section 7; and reading or engaging with our blog, gallery, promotions, and other publicly posted content.

You agree not to: use any automated tool, including a bot, scraper, spider, crawler, harvester, or data miner, to access, copy, extract, index, or monitor content from the Site without our prior written permission; reverse engineer, decompile, disassemble, or attempt to access the Site's underlying code, systems, security features, or infrastructure except as expressly permitted by law; interfere with, disrupt, damage, overburden, or attempt to gain unauthorized access to the Site, our servers, our accounts, our CRM, our forms, or any related systems; upload, submit, post, or transmit any content that is unlawful, harassing, threatening, defamatory, infringing, obscene, misleading, fraudulent, harmful, or otherwise objectionable; impersonate another person or entity; attempt to bypass security, cookie-consent, account, access-control, rate-limiting, or anti-spam features; or use the Site in any manner that violates applicable law, infringes third-party rights, or is intended to defraud, harass, harm, or mislead us, our clients, our vendors, our staff, or other users.

We may suspend, restrict, or terminate your access to the Site at any time, with or without notice and for any lawful reason, including suspected misuse, security concerns, maintenance, or discontinuation of any Site feature. We may also remove any content from the Site at any time for any lawful reason.

4. Intellectual Property and Trademarks

Unless otherwise noted, all content on the Site, including text, photographs, graphics, logos, brand assets, illustrations, videos, audio, layout, design, software, page structure, forms, and downloadable materials, is owned by or licensed to The Grand UpperRoom LLC and is protected by United States and international intellectual property laws.

The Grand UpperRoom™, Eden Suite™, and Bethel Suite™ names, together with any associated logos, slogans, designs, trade dress, and brand assets, are trademarks, service marks, or trade names of The Grand UpperRoom LLC. We use the ™ or SM designation for unregistered marks, and we will use the registered trademark symbol only for marks that become federally registered with the United States Patent and Trademark Office. You may not use our names, logos, venue photographs, or other brand assets in any way that suggests sponsorship, endorsement, partnership, approval, or affiliation without our prior written permission.

You may view and share content from the Site for personal, non-commercial purposes only, with reasonable attribution where appropriate, provided the sharing is lawful, does not imply sponsorship or endorsement, and does not alter the meaning of the content. This limited permission may be revoked at any time and does not give you ownership rights in any content. You may not copy, modify, distribute, reproduce, publish, license, scrape, download in bulk, train artificial intelligence systems on, create derivative works from, sell, or commercially exploit any portion of the Site, including photographs or videos of our venue, without our prior written consent.

5. User-Submitted Content

The Site may allow logged-in or invited users to submit content for our review, including blog post submissions through /submit-post/, promotion submissions through /submit-promotion/, contact-form messages, reviews, comments, images, testimonials, and other materials you choose to provide.

All blog and promotion submissions are placed in pending status and reviewed by our team before any public display. We reserve the right to decline, edit, delay, remove, or refuse to publish any submission for any reason permitted by law, including content that is off-brand, inaccurate, incomplete, infringing, misleading, unlawful, unsafe, offensive, or otherwise inappropriate. We are under no obligation to publish, retain, return, or compensate you for any submission.

By submitting content through the Site, you grant The Grand UpperRoom LLC a non-exclusive, royalty-free, worldwide, perpetual, transferable, and sublicensable license to use, host, store, reproduce, edit, adapt, crop, resize, publish, translate, distribute, display, and promote your submission on the Site and in related marketing materials, including social media, email, print, and advertising, unless we agree otherwise in writing. You represent and warrant that you own the submission or have all necessary rights, permissions, licenses, model releases, and consents to submit it, including consent from any identifiable people pictured, named, quoted, or recorded, and that the submission does not infringe any copyright, trademark, privacy, publicity, contract, confidentiality, or other third-party right and does not violate any law. You agree to indemnify us against any claim arising from your submission, including from a breach of these warranties. You retain ownership of your submission; the license above allows us to use it consistent with the purposes described.

6. Tour Bookings, Inquiries, and Venue Reservations

The Site provides general information about our venue and ways to inquire about availability, request pricing, submit event details, schedule a tour, or communicate with our team. Submitting an inquiry, scheduling a tour through our calendar, receiving an email or text response, or exchanging messages with our team does not create a binding rental agreement, reserve a date, guarantee availability, or lock in pricing.

Any actual reservation of the venue requires a separate signed venue rental agreement and required payment, including any applicable retainer, installment payment, damage hold, security charge, or other amount required by that agreement. The terms of your event rental are governed by the signed venue rental agreement and invoice, not by the Site or by general informational pricing displayed on the Site. Pricing, package contents, promotions, amenities, discounts, and availability shown on the Site may change without notice and are subject to written confirmation by The Grand UpperRoom LLC.

If there is a conflict between these Terms and a signed venue rental agreement for a specific event, the signed venue rental agreement controls for that event, except for the provisions of these Terms that specifically govern use of the Site, intellectual property, user-submitted content, website disclaimers, privacy-related notices, or online conduct.

7. Event Ticket Purchases and Public Events

From time to time, we host or promote public events at the venue, including networking mixers, cultural celebrations, workshops, holiday galas, business showcases, vendor events, or similar programs. Tickets may be sold through Eventbrite or another third-party platform.

When you click an Eventbrite or other ticketing link from the Site, you leave our Site and your transaction is governed by that platform's own terms of service, privacy policy, refund rules, transfer rules, and payment practices. We do not control the platform's policies, fees, data practices, or operations. Eventbrite publishes its privacy policy at https://www.eventbrite.com/help/en-us/articles/460838/eventbrite-privacy-policy/.

We may also publish event-specific policies, including dress code, age restrictions, parking instructions, check-in windows, late-arrival rules, no-show rules, security requirements, photography or recording notices, or prohibited-item lists. Those policies apply in addition to the ticketing platform's terms. By attending a public event at our venue, you agree to follow all posted venue rules, event-specific policies, applicable law, and the reasonable instructions of our staff and security team.

8. SMS and Text Message Communications

If you provide your mobile phone number and consent (for example, by checking the consent box on a contact or inquiry form), you agree that we may contact you by phone call and text message about your inquiry, tours, bookings, scheduling, and related venue information. We send these messages through our customer relationship and messaging platform, and our business text messaging is conducted through a registered, A2P 10DLC-compliant messaging program.

Message frequency varies. Message and data rates may apply depending on your mobile carrier and plan. Consent to receive text messages is not a condition of touring, booking, or purchasing from The Grand UpperRoom LLC. You may opt out of text messages at any time by replying STOP, and you may reply HELP for assistance. We will honor opt-out requests as required by applicable law. Your mobile carrier is not liable for delayed or undelivered messages.

9. Third-Party Links, Tools, and Services

The Site contains links to, embedded content from, or integrations with third-party platforms and service providers. These may include Eventbrite, GoHighLevel, Google services (Maps, Reviews, Analytics, Search Console, Workspace, and YouTube), Meta platforms (Facebook and Instagram), TikTok, WPForms, WPConsent, Smash Balloon social feed tools, Jetpack and Automattic, GoDaddy Managed WordPress, and other tools that help us operate the Site and respond to inquiries. These third parties are independent from us. We do not endorse, control, or assume responsibility for their content, products, services, privacy practices, security practices, terms of use, or operations.

We do not control the personal information these third parties collect directly from you or through their own services. Their handling of your information is governed by their own policies. Any privacy choice, opt-out, cookie preference, unsubscribe request, or deletion request you make with us applies only to The Grand UpperRoom LLC and does not automatically apply to third-party companies; to exercise choices with them, please contact them directly. The privacy policies of the services through which you are most likely to interact or transact are:

A complete list of the service providers we work with, with links to their privacy policies, appears in Section 6 of the Privacy Policy. If you choose to interact with a third-party service, you do so at your own risk and subject to that service's terms and privacy policy.

10. Disclaimers

The Site and all content, information, features, forms, tools, links, photographs, videos, pricing references, package summaries, and services made available through it are provided "as is" and "as available," without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including warrantss for a particular purpose, non-infringement, accuracy, completeness, reliability, security, and availability.

We do not warrant that the Site will be uninterrupted, secure, timely, error-free, virus-free, or free of harmful components; that defects will be corrected; or that information on the Site, including pricing, availability, photographs, floor plans, capacity information, amenities, package details, promotions, and public event details, is accurate, complete, or current at all times. Photographs and videos of the venue are representative only; actual event setups vary by room, package, configuration, guest count, selected services, decor, vendor choices, and management approval.

Nothing on the Site constitutes legal, financial, tax, medical, safety, event-planning, insurance, or other professional advice. You are responsible for obtaining professional advice where needed.

11. Limitation of Liability

To the fullest extent permitted by law, in no event will The Grand UpperRoom LLC, its owners, members, managers, employees, contractors, agents, vendors, representatives, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, punitive, or similar damages, including loss of profits, revenue, data, goodwill, business opportunity, reputation, or other intangible losses, arising out of or related to your use of or inability to use the Site, even if we have been advised of the possibility of such damages.

For claims arising out of or related to the Site or these Terms, our total cumulative liability to you is limited to the lesser of: (a) the amount, if any, you paid directly to The Grand UpperRoom LLC specifically for access to or use of the Site in the twelve (12) months preceding the claim; or (b) two hundred United States dollars ($200). Because the Site is generally provided without a separate access fee, this limitation is intended to apply only to Site-related claims. Event rental payments, ticket purchases, venue services, and event-specific obligations are governed by the applicable signed venue rental agreement, ticketing platform terms, invoice, or event-specific written policy, and are not subject to this Section.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so portions of this Section may not apply to you.

12. Indemnification

YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS THE GRAND UPPERROOM LLC, ITS OWNERS, MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AGENTS, VENDORS, REPRESENTATIVES, AND AFFILIATES FROM AND AGAINST ANY AND ALL CLAIMS, DAMAGES, OBLIGATIONS, LOSSES, LIABILITIES, COSTS, AND EXPENSES, INCLUDING REASONABLE ATTORNEYS' FEES, ARISING FROM OR RELATED TO: (A) YOUR USE OR MISUSE OF THE SITE; (B) YOUR VIOLATION OF THESE TERMS; (C) ANY CONTENT YOU SUBMIT THROUGH OR IN CONNECTION WITH THE SITE; (D) YOUR VIOLATION OF ANY THIRD-PARTY RIGHT, INCLUDING ANY INTELLECTUAL PROPERTY, PRIVACY, PUBLICITY, CONFIDENTIALITY, OR CONTRACT RIGHT; OR (E) YOUR VIOLATION OF APPLICABLE LAW.

13. Reviews, Public Statements, and Non-Disparagement

Nothing in these Terms is intended to prohibit, restrict, or penalize your right to make truthful statements, submit honest reviews or performance assessments, report unlawful conduct, communicate with government agencies, participate in legal proceedings, or exercise any right protected by applicable law, including the federal Consumer Review Fairness Act.

Subject to the protections above, you may not use the Site or any content submitted through the Site to publish, post, transmit, or encourage statements about The Grand UpperRoom LLC, its owner, staff, clients, vendors, guests, services, or business operations that you know to be false, defamatory, harassing, threatening, unlawful, misleading, infringing, or that disclose confidential or private information. We reserve all rights and remedies regarding false, defamatory, unlawful, or infringing statements, and against unauthorized use of our content, photographs, marks, or confidential information. This Section survives the termination or completion of your use of the Site.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles.

Before filing a formal claim, you agree to first contact us in writing at events@thegrandupperroom.com and provide a reasonable opportunity of at least thirty (30) days for us to resolve the matter informally.

If informal resolution does not succeed, any dispute, claim, or controversy arising out of or relating to the Site or these Terms shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA"). Consumer disputes shall be administered under the AAA Consumer Arbitration Rules then in effect, and business or commercial disputes shall be administered under the AAA Commercial Arbitration Rules then in effect, unless the AAA or applicable law requires a different ruleset (the AAA rules and sample clauses are available at https://www.adr.org/clause-drafting/). The arbitration shall take place in Harris County, Texas, unless the parties agree otherwise or applicable law requires another location. Judgment on any arbitration award may be entered in any court of competent jurisdiction.

Either party may bring an individual claim in small claims court if the claim qualifies. Either party may also seek temporary, preliminary, or emergency injunctive relief in a court of competent jurisdiction to protect intellectual property, confidential information, security, safety, or unauthorized-access rights while arbitration is pending.

If arbitration is unavailable, unenforceable, or not permitted for a particular claim, exclusive jurisdiction and venue for that claim shall lie in the state or federal courts located in Harris County, Texas, and you consent to personal jurisdiction in those courts. To the extent permitted by law, any claim must be brought on an individual basis only, and not as a plaintiff, class member, or representative in any class, consolidated, collective, private attorney general, or representative action.

15. General Provisions

Entire Agreement. These Terms, together with our Privacy Policy and any policies posted on the Site, constitute the entire agreement between you and The Grand UpperRoom LLC regarding your use of the Site and supersede any prior understandings regarding the Site. For any actual venue rental or event, the signed venue rental agreement and its addenda control over the Site and these Terms.

Severability. If any provision of these Terms is held invalid, unlawful, or unenforceable, that provision will be severed or limited to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

No Waiver. Our failure to enforce any provision of these Terms is not a waiver of that provision or of our right to enforce it later.

Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets, or otherwise as permitted by law.

Headings and Survival. Section headings are for convenience only and do not affect interpretation. Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, the reviews and non-disparagement section, and these general provisions, will survive.

16. Changes to These Terms

We may revise these Terms at any time by posting an updated version on the Site and revising the Effective Date above. Material changes will be highlighted where reasonable. Your continued use of the Site after updated Terms are posted means you accept the changes.
